Clause 01
Acceptance of terms
These Terms of Service ("Terms") form a legally binding agreement between you("you," "your") and NairaGig Limited, a company organised under the laws of the Federal Republic of Nigeria ("NairaGig," "we," "our," "us"). They govern your access to and use of (a) nairagig.com, (b) the NairaGig iOS and Android mobile applications (collectively the "Apps"), and (c) any related APIs, embeddable widgets, or services we make available (collectively the "Platform").
By creating an account, downloading the Apps, or otherwise accessing or using the Platform, you confirm that you have read, understood, and agreed to these Terms, our Privacy Policy, our Cookie Policy, and any supplemental terms applicable to specific features. If you do not agree, you must stop using the Platform immediately and uninstall the Apps.
Clause 02
Eligibility & age
To use the Platform you must:
- Be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher).
- Have the legal capacity to enter into a binding contract.
- Not be barred from using the Platform under the laws of Nigeria or any other applicable jurisdiction.
- Not be located in any country subject to a Nigerian, U.S., U.K., E.U. or U.N. embargo, or on any restricted-party list.
- Maintain only one personal account unless we expressly authorise additional ones.
We do not knowingly permit minors to register. If we discover an account belongs to a person under 18 we will terminate it and delete the data without notice.
Clause 03
Description of service
NairaGig is an online marketplace that connects clients seeking freelance professional services with skilled freelancers in Nigeria and globally. The Platform provides tools for discovering, contracting, communicating, paying, and resolving disputes around freelance work. Specific features include:
- Job posting, search, bidding, and proposal management
- Escrow-style payment processing and payouts
- Direct messaging, attachments, and project workspaces
- Identity verification (KYC) for selected workflows
- Performance challenges and competitions with reward distribution
- Sponsorship programs that connect sponsors to selected applicants
- Notifications via email, push, in-app, and (where permitted) SMS
We are not a party to any contract between users. NairaGig acts as a neutral marketplace and is not the employer of any freelancer, nor the client of any work performed on the Platform. We do not provide professional services ourselves and make no representation as to the qualifications of any user.
Clause 04
Accounts & registration
To access most features, you must register for an account. You agree to:
- Provide accurate, current, and complete information at registration
- Promptly update your information so it remains accurate
- Keep your password and authentication credentials confidential
- Enable multi-factor authentication where offered
- Accept responsibility for all activities under your account, whether authorised by you or not
- Notify us immediately at security@nairagig.com of any suspected unauthorised access
- Not transfer, sell, or assign your account to any other person
- Not impersonate any person or misrepresent your affiliation with any organisation
We may verify your identity, professional credentials, or payment instrument at any time and may suspend your account while verification is pending. Account deletion:you may delete your account at any time from Settings → Account → Delete account, or by emailing privacy@nairagig.com. We will permanently erase or anonymise your personal data within 30 days, subject to legal-hold and financial-record retention requirements.
Clause 05
Mobile app terms
The Apps are licensed (not sold) to you under a personal, non-exclusive, non-transferable, revocable, limited licence to use the Apps on devices you own or control, solely in accordance with these Terms and the rules of the app store from which the App was downloaded.
Apple App Store users
These Terms are between you and NairaGig only — not Apple Inc. Apple has no obligation to provide support or maintenance for the iOS App. To the extent any warranty cannot be disclaimed, NairaGig (not Apple) is solely responsible. Apple, however, is a third-party beneficiary of these Terms and may enforce them against you. You must comply with the applicable App Store Terms of Service and Apple's Media Services Terms. You represent that you are not in a U.S.-embargoed country and not on any U.S. restricted-party list.
Google Play users
Your use of the Android App is also subject to the Google Play Terms of Service and the Google Play Developer Distribution Agreement applicable to you as an end user.
Device permissions
The Apps request only the permissions strictly required for the features you use (e.g. camera for KYC document capture and profile photos; storage for attachments; notifications for messages and job alerts; location, only on the explicit screens where it is needed). You may revoke permissions at any time in your device settings; some features may then become unavailable.
Updates
We may release updates, patches, and new versions of the Apps from time to time. You agree that updates may be downloaded and installed automatically through your app store, and that older versions may stop working when no longer supported.
Clause 06
Acceptable use
You agree not to use the Platform to:
- Violate any applicable law, regulation, or third-party right
- Post false, misleading, fraudulent, defamatory, obscene, hateful, sexually explicit, or violent content
- Solicit personal information from minors, or share content depicting minors in an unsafe context
- Harass, intimidate, stalk, dox, threaten, or harm another user
- Discriminate against any person on the basis of race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristic
- Post content that infringes copyright, trademark, trade secret, or other intellectual property right
- Bypass, disable, or interfere with security, anti-fraud, or moderation systems
- Reverse-engineer, decompile, or attempt to derive source code from the Platform or Apps
- Scrape, crawl, harvest, or use automated means to access or extract Platform data without our prior written consent
- Send spam, chain messages, unsolicited marketing, or pyramid-scheme content
- Upload viruses, worms, malware, or other harmful code
- Impersonate any person, business, or other entity
- Use the Platform to launder money, finance terrorism, evade sanctions, or facilitate any other criminal activity
- Take any action that imposes an unreasonable load on our infrastructure, or attempt to gain unauthorised access to any system or account
- Off-platform circumvention — soliciting users to transact outside NairaGig to avoid fees
We may, in our sole discretion, remove content, restrict accounts, freeze funds, report you to law enforcement, and pursue any other remedy available to us — without prior notice — if we reasonably believe you have violated this section.
Clause 07
User-generated content
You retain ownership of any text, images, files, designs, code, audio, video, reviews, comments, profile content, deliverables, or other material you submit to the Platform("Your Content"). By submitting Your Content you grant NairaGig a worldwide, non-exclusive, royalty-free, fully paid-up, sublicensable, transferable licence to host, store, reproduce, modify, create derivative works of, communicate, publish, perform, display, and distribute Your Content for the limited purpose of operating, marketing, improving, and securing the Platform — including showing your profile, work samples, reviews, and ratings to other users.
You represent and warrant that you own or have all necessary rights to Your Content, that Your Content does not infringe any third-party right, and that posting it does not breach any law or agreement. You will indemnify NairaGig for breaches of this representation (see Section 17).
We may, but are not required to, review, screen, or remove Your Content at any time. We are not responsible for the accuracy or legality of any content posted by users.
Clause 08
Payments, fees & taxes
NairaGig facilitates payments between clients and freelancers using third-party payment processors. By transacting on the Platform you agree to the terms of those processors as disclosed at checkout.
- Freelancers pay a service fee on completed projects — current rates are shown at the time of contracting.
- Clients may be charged convenience or processing fees as disclosed at checkout.
- Fees are quoted in Nigerian Naira (₦) unless otherwise stated. Foreign-currency conversions use the rate quoted by our processor at the time of transaction.
- You are solely responsible for any taxes (including VAT, withholding tax, income tax) arising from your activity on the Platform. NairaGig will issue tax forms only where required by law.
- We may withhold funds, hold them in escrow, or reverse a payment in the event of suspected fraud, chargeback, abuse, dispute, or violation of these Terms.
- We may change fees on 30 days advance notice; continued use after the effective date is acceptance of the new fee schedule.
- Unpaid balances may accrue interest at the maximum rate permitted by law and may be referred to a collections agency.
Clause 09
In-app purchases
Some features of the Apps may be unlocked through one-time in-app purchases (IAP) processed via Apple App Store or Google Play. By making an IAP you confirm:
- The purchase is processed by Apple or Google — not by NairaGig — and is subject to their billing and refund policies.
- You are the account holder of the app store account used, or you have permission from the account holder.
- Prices include applicable taxes where required; the amount actually charged may differ slightly due to currency conversion or rounding.
- Digital content delivered through IAP is final once delivered, except where refunds are required by app-store policy or applicable consumer law.
- Apple and Google may unilaterally reverse a purchase; if reversed, your access to the underlying feature may be revoked.
For IAP refund requests, contact the relevant app store. NairaGig cannot process refunds for app-store-billed transactions.
Clause 10
Subscriptions & auto-renewal
Certain features may be offered on a subscription basis (monthly, quarterly, or annual). Where you purchase a subscription:
- Subscriptions auto-renew at the end of each billing period at the then-current price unless cancelled at least 24 hours before renewal.
- Payment is charged to your selected payment method (or your app-store account, for App-based subscriptions) at confirmation of purchase and at each renewal.
- You may turn off auto-renewal at any time from your account settings or via your app-store subscriptions menu.
- Length of subscription, price, and renewal terms are disclosed clearly at the point of purchase before payment.
- A free trial (if offered) converts to a paid subscription unless cancelled before the trial ends.
- Cancelling stops future renewals; you keep access until the end of the paid period.
Clause 11
Refunds
Unless required by applicable law or expressly stated otherwise, all payments are non-refundable once a transaction is completed. We may, at our sole discretion, issue a refund or credit where:
- A duplicate or erroneous charge was made due to a technical fault.
- A freelancer fails to deliver agreed work within the contract terms and dispute resolution upholds the client.
- You are entitled to a statutory cooling-off period under your local consumer law.
- App-store policies (Apple / Google) require a refund for an IAP or subscription — in which case you must request the refund directly from the app store.
Refund requests should be submitted within 14 days of the transaction to billing@nairagig.com. We respond within 7 business days.
Clause 12
Intellectual property
The Platform, the Apps, and all related content, features, design, code, logos, names, trademarks, service marks, and aggregated data are the exclusive property of NairaGig or its licensors and are protected by Nigerian and international copyright, trademark, trade secret, patent, and other laws. Except for the limited licence granted in Section 5, we grant you no right, title, or interest.
"NairaGig," the NairaGig logo, and any other product or service name displayed on the Platform are our trademarks. You may not use them without our prior written permission.
Clause 13
DMCA & IP takedown
We respect the intellectual property rights of others and require our users to do the same. If you believe content on the Platform infringes your copyright, send a written notice to dmca@nairagig.com containing:
- A description of the copyrighted work claimed to have been infringed
- The URL or other location of the allegedly infringing content
- Your full legal name, postal address, telephone number, and email
- A statement that you have a good-faith belief that the use is not authorised by the copyright owner, its agent, or the law
- A statement, under penalty of perjury, that the information is accurate and that you are the rights-holder or authorised to act on their behalf
- A physical or electronic signature
We will respond promptly to valid takedown notices and may terminate accounts of repeat infringers. Counter-notices may be filed under the same procedure.
Clause 14
Third-party services
The Platform may interoperate with or link to third-party websites, applications, payment processors, identity providers, advertising networks, social networks, app stores, and other services ("Third-Party Services"). We do not control, endorse, or assume responsibility for any Third-Party Service. Your use of any Third-Party Service is subject to its own terms and privacy policy. We are not liable for any loss or damage caused by your interactions with a Third-Party Service.
Clause 15
Disclaimers & warranties
The Platform and the Apps are provided "AS IS" and "AS AVAILABLE," without warranty of any kind.
To the maximum extent permitted by law, NairaGig and its directors, employees, agents, affiliates, suppliers, and licensors disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, accuracy, non-infringement, quiet enjoyment, system integration, uninterrupted operation, and any warranty arising from course of dealing or usage of trade. We do not warrant that:
- The Platform will be uninterrupted, secure, or error-free
- Defects will be corrected
- The Platform is free of viruses or other harmful components
- Any user or transaction is genuine, accurate, or legal
- You will achieve any particular result from using the Platform
Clause 16
Limitation of liability
To the maximum extent permitted by law:
- NairaGig will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profit, revenue, goodwill, data, or business opportunity — even if we have been advised of the possibility.
- Our aggregate liability for any claim arising out of or relating to these Terms or the Platform will not exceed the greater of (a) the amount you paid us in fees in the 12 months immediately preceding the event giving rise to the claim, or (b) ₦100,000 (one hundred thousand Naira).
- This limitation applies regardless of the legal theory (contract, tort, statute, or otherwise) and survives termination of these Terms.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In such jurisdictions our liability is limited to the maximum extent permitted by law.
Clause 17
Indemnification
You agree to indemnify, defend, and hold harmless NairaGig and its directors, officers, employees, agents, affiliates, suppliers, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:
- Your access to or use of the Platform or Apps
- Your violation of these Terms or any applicable law
- Your violation of any third-party right, including any intellectual property or privacy right
- Any content you submit, post, or transmit through the Platform
- Any dispute between you and another user
- Any tax obligation arising from your activity on the Platform
We reserve the right to assume the exclusive defence and control of any matter subject to indemnification by you, at your expense, in which case you will cooperate with us in asserting any available defence.
Clause 18
Disputes & arbitration
Please read this section carefully. It affects your legal rights and may require you to resolve disputes through binding arbitration on an individual basis.
Informal resolution
Before filing a claim, you agree to contact legal@nairagig.com and attempt to resolve the dispute informally for at least 60 days. Most disputes can be resolved at this stage.
Binding arbitration
Any unresolved dispute, claim, or controversy arising out of or relating to these Terms or the Platform — except as set out below — will be settled by binding arbitration administered under the rules of the Lagos Court of Arbitration. Arbitration will take place in Lagos, Nigeria, and be conducted in English by a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.
Class-action waiver
You and NairaGig each agree that any dispute will be brought in an individual capacity only — not as a plaintiff or class member in any purported class, consolidated, or representative action.
Exceptions
The following claims are not subject to arbitration and may be brought in a court of competent jurisdiction: (a) injunctive or other equitable relief to stop unauthorised use or infringement of intellectual property; (b) small-claims actions within the small-claims court's jurisdictional limit; (c) any claim that arbitration is held unenforceable.
Clause 19
Governing law & venue
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict-of-laws principles. Subject to Section 18, the courts of Lagos State, Nigeria have exclusive jurisdiction over any matter not subject to arbitration.
Clause 20
Suspension & termination
We may suspend, restrict, or terminate your access to all or part of the Platform — with or without notice — if we reasonably believe you have:
- Violated these Terms or any applicable law
- Caused harm or risk of harm to other users, NairaGig, or any third party
- Engaged in fraud, money-laundering, sanctions evasion, or other illegal activity
- Failed payment obligations or maintained an unfunded balance
- Created an unreasonable burden on our infrastructure or operations
You may terminate your account at any time via the in-app account deletion flow or by writing to privacy@nairagig.com. Sections that by their nature should survive — including 7 (UGC licence), 12–17 (IP, indemnification, disclaimers, limitation of liability), 18 (arbitration), 19 (governing law), and this Section 20 — will survive termination.
Clause 21
Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and NairaGig and supersede any prior agreements on the same subject.
- Severability. If any provision is held unenforceable, the remaining provisions remain in full force.
- No waiver. Failure to enforce any right is not a waiver of that right.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign or transfer freely.
- Force majeure. Neither party is liable for any failure or delay caused by events beyond its reasonable control (acts of God, war, terrorism, riot, internet outage, governmental action, pandemic, etc.).
- Notices. We may give notice to you via the Platform, the Apps, your registered email, or your last-known postal address. You give notice to us at legal@nairagig.com.
- Export controls. You may not use the Platform in violation of any export law or sanctions regime.
- No agency. No partnership, joint venture, employment, or agency relationship is created by these Terms.
- Language. These Terms are written in English. Any translation is for convenience only; the English version controls.
Clause 22
Changes to terms
We may modify these Terms from time to time. Material changes will be communicated to you via the Platform, the Apps, or your registered email at least 14 days before they take effect, except where a shorter period is required by law or by security or fraud considerations. Continued use of the Platform after the effective date constitutes acceptance of the modified Terms. If you do not agree, you must stop using the Platform.
